ALF Group Holdings AG – Early Release of Bonus Shares
Zurich – 16th March 2011 – The Directors of ALF Group Holdings AG (ALF) are pleased to report that they have successfully negotiated with Kingsley Finance Co Limited (ALF’s largest shareholder), for the early release and distribution of the “Free Bonus Shares” that were previously ‘locked up’ until July 2011.
ALF now has approval to release the free bonus shares to all shareholders with complying applications at the end of business on 29th April 2011.
Shareholders who have applied for free bonus shares were aware that a holding statement was required to be produced as at 30th June 2011, confirming that shareholders had maintained their shareholding from 31st December 2010 to 30th June 2011. This requirement has been brought forward, which means that the free bonus shares will be released approximately 3 months earlier.
The final date for production of a holding statement is now the 14th of April 2011 for the period ending 31st March 2011.
PLEASE NOTE:
- You must have a valid statement confirming your holding as at 31 March 2011.
- If the Shareholder Holding statement (to 31st March) is for a reduced number of shares than the original statement, then, this number will be the determining reference for the share allocation. In this case the allocation of free bonus shares will be calculated based on the lower number of shares owned.
- If existing shareholders have reduced their holding, with a view to repurchasing shares prior to the due date, then we invite them to purchase the number of shares required to reinstate their former position. The relevant date is the 31st March 2011.
Key Dates:
- 31st March 2011 - Free share calculation based on the lower number of shares held in December 2010 when compared to those held as at 31st March 2011.
- 14th April 2011 - Last day for ALF to receive the above holding statement.
- 29th April 2011 – Instructions given to Basler Kantonalbank to transfer the free bonus shares to each successful applicant.
