Sydney, Australia – 13 October 2026: Vection Technologies Ltd (ASX: VR1, OTC: VCTNY, FRA: S1X) (“Vection” or “the Company”), an Enterprise & physical AI Company, is pleased to announce that it has executed a multi-year Framework Supply Agreement (the "Agreement") with Retelit Digital Service S.p.A., a leading Italian provider of digital services and connectivity infrastructure, for the distribution of the Vection Group's proprietary technology portfolio and selected third-party solutions.

Transaction details

Under the Agreement, RDS has been appointed a Tier 1 Cloud & Digital Service Provider (T1 CDSP) within the VTCP, Vection's global partner program, and is authorised to commercialise, to end users and through its dealer network across Italy and Europe:

  • Vection's proprietary software platforms, licences and professional services — Algho-AI, Renderia, and 3DFrame;
  • Vection's proprietary human-machine interaction appliances and devices — kiosks, touchpoints and on-premise/edge appliances including the innovative Accessibility System

The Agreement takes effect on the date of signing and runs to 30 June 2030, with no automatic renewal. RDS has committed to generate cumulative revenue of no less than ~A$19.5 million on Vection's Algho, Renderia, and 3DFrame software platforms and its proprietary kiosk, touchpoint and appliance hardware, over the term of the Agreement.

Three revenue milestone periods are structured into the Agreement:

  • A$ 5 million by 31 December 2027
  • a further $A 6.5 million by 30 June 2029; and
  • a further $A 8 million by 30 June 2030

together with additional commercial incentives applicable to sales of the third-party portfolio.

Management commentary

"Thanks to this agreement, Vection Technologies positions its technologies at the service of the Retelit Group, which, thanks to its next-generation Data Centre network and proprietary Backbone, will be able to offer our AI to the thousands of Enterprises in their customer base, guaranteeing data sovereignty across Italian and EMEA territory thanks to the Sparkle network, which recently joined the group."

Jacopo Merli, Executive Director & Chief Operating Officer – Global, Vection Technologies Ltd

The Agreement further includes a compliance framework covering personal data protection (GDPR) and, in respect of Vection's artificial intelligence services (including Algho), the EU AI Act (Regulation (EU) 2024/1689) — with Vection's AI-related obligations under the Agreement limited to the AI services it provides for RDS's end customers — together with mutual anti-corruption and integrity undertakings referencing Legislative Decree 231/2001. Any disputes arising under the Agreement are subject to the exclusive jurisdiction of the Courts of Milan.

Specific commercial terms (discounts, rebates and payment terms) are classified as confidential information under the Agreement and are accordingly not detailed in this announcement. The relationship between the parties is non-exclusive; each party's freedom to deal with third parties is expressly stated not to permit conduct amounting to unfair competition.

The Agreement does not include a general right to terminate for convenience.

Each party may terminate the Agreement for material breach not remedied within 30 days of written notice via certified email (PEC) — including breaches attributable to wilful misconduct or gross negligence — or, with immediate effect, in the event of the other party's bankruptcy, insolvency proceedings, controlled administration, liquidation or insolvency.
